    Vendor/Sponsor Agreement

    BOOTH SPACE - The undersigned (herein after referred to as “Exhibitor”) is entirely responsible for the booth space and shall not injure or deface any part of the buildings, tents, booths, equipment, or show decor at the Southern Highlands Fall Festival (the "Festival.") Exhibitor shall not drive nails or hooks, tacks, or screws in any part of the booth, tents, buildings, trees, or posts at the Festival. Exhibitor shall not affix to the walls or windows of buildings at the Festival any advertisement, signs, etc. or use tape or adhesive materials on any indoor or outdoor painted surfaces. Exhibitor agrees to reimburse the Southern Highlands Fall Festival Management (“Management”) and tent/booth vendor for any loss or damage to the Festival premises or equipment occurring in the booth space of Exhibitor. All Tents and booths shall be provided by Management, no exceptions permitted.

    Booths pace will be allocated by Management on a “first come” basis. Management reserves the right to select and relocate Exhibitor’s booth space which may be affected by a chance in the site plan of the Festival, or in the interest of optimum traffic control. Management will not be held liable if competitive exhibitors are adjacent to or opposite each other but will do its best to allocate space on a basis fair to all exhibitors. Exhibits and displays should not exceed or extend beyond the tent area. Booth space is to be used solely for the Exhibitor whose name appears on this Agreement. Exhibitor shall not be permitted to sublet or share any portion of the said space without the consent of Management. If Exhibitor fails to occupy their booth space by the opening of the Festival, Exhibitor shall forfeit their right to the booth space, all prepaid amounts, and pay any balance owing to Management.

    All exhibits and personnel must remain within their own booth space, and no Exhibitor will be permitted to erect signs or display products in such a manner as to obstruct the view, or affect the display of other exhibitors. No interference with the light or space of another exhibitor will be permitted. All demonstrations or promotional activities must be confined within the limits of Exhibitor’s booth space. Music and/or noise must not interfere with the other exhibitors.

    Management reserves the right to restrict or remove exhibits, without refund, that may have been falsely entered, or may be deemed by Management unsuitable or objectionable. This restriction applies to noise, p.a. systems, persons, animals, conduct, printed material, materials, or anything of a character that might be objectionable to the attendees or Management or go against the message of the Festival. Exhibitor my not solicit business from guests who are in another exhibitor’s booth. Anyone violating the above will be asked to leave the Festival and no refunds will be given.

    All booths and decorations must comply with facility regulations, city ordinance, and local fire codes. Any violations may result in the removal of any materials found to be in violation. Materials for booth decorations and construction must be fire retardant.

    Any and all special carpentry, wiring, electrical, or other work, including gas, steam, water, or drainage connection must be approved by Management in advance and installed at the Exhibitor’s expense.

    LICENSES - Exhibitor is solely responsible for obtaining and complying with any and all City, County, Municipal, State or Federal ordinance, regulations, codes, licenses, inspections, or permits, including, but not limited to: fire prevention, business licenses, sales permits, and public safety. All licenses and permits shall be obtained by Exhibitor at their own expense prior to the opening of the Festival. Any violation charges will be Exhibitor’s responsibility.
    ENTIRE AGREEMENT - This Agreement contains all the terms and conditions agreed on by the parties hereto, and no other agreements, oral, or otherwise regarding the subject matter of this Agreement, shall be deemed to exist or to bind any of the parties hereto. Management reserves the right to require Exhibitor signature on additional documents in order for Exhibitor to participate in the Festival.

    DISPUTE - Any controversy or claim between parties hereto arising out of or related to the provisions of this Agreement shall be settled by arbitration by one arbitrator in accordance with the rules of the American Arbitrations Association in Las Vegas, Nevada, and judgment upon the award rendered by the Arbitrator may be entered in any court having jurisdiction thereof.

    SECURITY - Management, The Southern Highlands Community Association, the Olympia Companies Charitable Foundation, and their Parent, Subsidiaries, Affiliated Companies, The Boys and Girls Club of Southern Nevada, Andson, VetSec, Clark County, sponsors, nor any of the aforementioned owners, directors, officers, members, employees, volunteers, and their insurance companies are not liable for any damage or loss of Exhibitor’s property and exhibit materials. Management recommends that all exhibitors contact their insurance agents to confirm proper coverage of exhibit materials and the Festival. Exhibitor, at their own expense, may arrange for any additional security.

    CANCELLATION & REDUCTION POLICY - Any requests for booth changes must be submitted, in writing, and received by Management no later than October 15, 2023. No refunds will be given for cancellation or reduction in the number of booths. If Exhibitor’s entire booth space fee is not received by the due date, Exhibitor may be relocated or lose all rights to exhibit at the Festival, at Management’s sole discretion. Management shall not be liable for any damages or expenses incurred by Exhibitors if the Festival is delayed, interrupted or not held as scheduled due to reasons beyond Management’s control.

    PHOTOGRAPHY/RECORDING - Exhibitor grants Management the right to take photos or film images of the Festival including Exhibitor booths and personnel. The images may be used by Management to promote the Festival and copyright of said images shall belong to Management.

    LIABILITY - Neither the Southern Highlands Community Association, the Olympia Companies Charitable Foundation, and their Parent, Subsidiaries, Affiliated Companies, The Boys and Girls Club of Southern Nevada, Andson, VetSec, Clark County, sponsors, nor any of the aforementioned owners, directors, officers, members, employees, volunteers, and their insurance companies are responsible for any injury, loss, or damage that may occur to Exhibitor or Exhibitor’s employees/volunteers or property from and cause whatsoever. Exhibitor, on signing this Agreement, expressly releases the aforementioned from any and all claims for such loss, damage, or injury.

    Exhibitor agrees to observe and abide by the terms and conditions of this Agreement and by any additional terms, conditions, and rules made by Management in the future, for the safe and efficient operation of the Festival. Exhibitor has read and agrees to the terms above, by printing their name in the following box:

    Donations for Raffle

    We would gladly accept donated product/services/items to our Raffle Prize Inventory.
    Please note: Items may be grouped with other similar products to create one packaged item.

    Payment Information

    Sponsorship and Vendor Booth payments are due at time of registration acceptance.

    We will review and process registration forms on a bi-weekly basis. Upon acceptance, we will email your registration confirmation.

    NOTE TO FRANCHISES: We will only allow one outlet of a franchise to host a booth at the event. There will be a first right of refusal offered to prior year vendors. From there, it will be a first come, first serve basis.

    Your confirmation email will include an invoice link to pay via PayPal's website. PayPal DOES NOT require you to be a registered user to pay, and they accept Visa, MasterCard, American Express, Discover, and PayPal Credit as forms of payment.
